THIS STOCK TRANSFER AGREEMENT (this "Agreement") is made and entered into as of August 20, 2025 (the "Effective Date"), by and among DASH MEDIA INC., a Wyoming corporation (the "Company"), Craig Robinson, an individual and a Director of the Company ("Transferor"), and Nathaniel W. Adams, an individual ("Advisor").

WHEREAS, Transferor is the legal and beneficial owner of certain issued shares of the Company's Common Stock; and

WHEREAS, Transferor desires to transfer 500,000 shares of Common Stock (the "Shares") to Advisor as partial compensation for legal advisory services and service on the Company's Board of Directors. The Company has been notified and the parties intend for the transfer to be effected in accordance with the terms below;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Company, Transferor and Advisor (each a "Party" and, collectively, the "Parties") agree as follows:

1. Transfer and Consideration.

1.1. Transferor hereby transfers, conveys and assigns to Purchaser, and Purchaser hereby accepts from Transferor, 500,000 shares of the Company's Common Stock (the "Shares"), which were issued and held of record by Transferor prior to the Effective Date. The Shares are being transferred as compensation for services rendered; therefore, the purchase price paid by Advisor shall be $0.00.

1.2. The Company acknowledges that the Shares are being transferred by Transferor from Transferor's personally-owned issued shares (not newly issued treasury shares), and the Company agrees to update its stock ledger and issue a new certificate (or book-entry) to Purchaser on receipt of the required documentation.

2. Board Approval.

2.1. The parties acknowledge that, if required by the Company's articles, bylaws or any shareholder agreement, the transfer will be subject to and conditioned on the Company's Board of Directors approving (or ratifying) the transfer.

3. Vesting.

The Parties agree that the Shares are fully vested and unrestricted as of the Effective Date (the "Grant Date"), subject only to the transfer restrictions and legends described in Section 4 and to the terms of any shareholder agreements existing as of the Effective Date to which the Shares are subject.

4. Transfer Restrictions; Legends; Stop-Transfer.

4.1. The Shares are subject to federal and state securities laws and to any restrictions set forth in the Company's charter, bylaws, shareholder agreements or in any other written agreement affecting Transferor's shares. Purchaser agrees not to sell, transfer, pledge or otherwise dispose of the Shares except in compliance with such agreements and applicable law.

4.2. The Company may place stop-transfer instructions and cause certificates or book-entries to bear legends restricting transfer to ensure compliance with securities laws and any contractual transfer restrictions. The legend may state, in substance, that the Shares are subject to the restrictions set forth in this Agreement and in the Company's governing documents.

5. Delivery; Stock Ledger; Certificate.

On the Effective Date (or promptly thereafter upon satisfaction of any Board approval required under Section 2), Transferor shall deliver to Purchaser either (a) a properly endorsed original stock certificate for the Shares (with such transfer endorsements and medallion signature guarantees a s the Company or its transfer agent may reasonably request), or (b) if the Shares are held in book-entry form, an executed transfer form and written instruction to the Company's transfer agent to record the transfer. The Company shall promptly record the transfer on its stock ledger and, if certificates are used, issue a certificate in Purchaser's name.

6. Representations and Warranties.

6.1. Company. The Company represents and warrants that (a) it is duly organized and validly existing under the laws of Wyoming, (b) it has corporate power to enter this Agreement and to carry out its terms and (c) subject to completion of any corporate approvals described in Section 2, it will record the transfer on its books and issue or transfer certificates as provided.

6.2. Transferor. Transferor represents and warrants that : (a) Transferor is the lawful owner of the Shares, free and clear of any liens, encumbrances, claims or restrictions other than those expressly referenced in this Agreement; (b) Transferor has the right and authority to transfer the Shares to Purchaser in accordance with this Agreement; and (c) the transfer does not contravene any contractual obligation to any third party.

6.3. Purchaser. Purchaser represents that Purchaser is acquiring the Shares for Purchaser's own account for investment and compensation purposes, not with a view to distribution, and is an accredited investor or sophisticated party for purposes of evaluating the investment (to the extent applicable). Purchaser acknowledges receipt of all information reasonably requested concerning the Company

7. Tax Matters; Section 83(b).

Purchaser acknowledges receipt of information regarding Internal Revenue Code 83(b). Because the Shares are fully vested at issuance/transfer, an 83(b) election is not required; Purchaser should consult tax counsel and file any elections or returns that Purchaser deems necessary. The parties are responsible for their own tax consequences; the Company may withhold applicable taxes as required by law.

8. Compliance; Existing Agreements.

The transfer and ownership of the Shares shall at all times be subject to and governed by any agreements existing as of the date hereof, including any shareholder agreements, buy-sell agreements, rights of first refusal, repurchase rights or other restrictions affecting the Shares; to the extent there is a conflict between this Agreement and any such existing agreement, the existing agreement will govern the transfer and any future transfer rights unless expressly amended in writing.

9. Further Actions / Board Resolution.

Each party shall execute and deliver such further instruments and take such further actions as may be reasonably required to effectuate the intent of this Agreement, including a Board Resolution approving or ratifying the transfer and an updated stock ledger entry. The parties agree to cooperate in good faith to obtain any third-party consents or approvals required.

10. Indemnification.

Transferor and Purchaser each agree to indemnify, defend and hold harmless the Company and the other party from and against any losses, liabilities, claims, damages, costs or expenses arising from any breach of their respective representations, warranties or covenants in this Agreement, except to the extent of any negligence or willful misconduct by the Company.

11. No Further Consideration.

Except as otherwise stated in this Agreement, neither the Company nor Transferor shall have any further obligations to Purchaser with respect to the Shares beyond those expressly set forth herein.

12. Amendment; Waiver.

This Agreement may be amended or waived only by an instrument in writing signed by the Company, Transferor and Purchaser.

13. Severability.

If any provision of this Agreement is held invalid, illegal or unenforceable, the remainder of this Agreement shall continue in full force and effect.

15. Entire Agreement.

This Agreements together with Exhibit A (From of Stock Certificate), constitutes the entire agreement of the parties regarding the Share and superseded all prior oral or written agreements.

16. Governing Law.

This Agreement shall be governed by and construed in accordance with laws of the State of Wyoming, without regard to conflict of laws principles.

17. Counterparts/Electronic Signatures.

This Agreement may be executed in counterparts and by electronic signature, each which will be deemed an original and all of which together will constitute one instrument.
